Welcome to OMNITECH TECHNOLOGIES ("Omnitech", "we", "our", or "us"). These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between Omnitech Technologies and your organization, business entity, or you individually as an authorized user ("Client", "User", "you").
By accessing or utilizing our website, client portals, proprietary software suites, cloud hosting services, or by engaging Omnitech for bespoke software engineering, cybersecurity consulting, or digital transformation architectures, you acknowledge that you have read, understood, and agree to be bound by all provisions contained within this Agreement.
This Agreement is formulated in full accordance with United Arab Emirates Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services, the UAE Commercial Transactions Law, and applicable local and federal regulations across Abu Dhabi and the wider UAE. If you do not agree with any part of these Terms, you must immediately refrain from accessing or utilizing our services.
2. Eligibility & Account Registration
To enter into enterprise service contracts, access restricted developer portals, or manage administrative services through Omnitech, you represent and warrant that:
- You have attained at least eighteen (18) years of age and possess full legal capacity to enter into binding contracts under UAE law.
- If acting on behalf of a corporation, partnership, or government entity, you possess valid legal authority to execute agreements and bind such entity to these Terms.
- All corporate credentials, trade license copies, tax registration details, and administrative contact information submitted are truthful, accurate, and current.
- You are exclusively responsible for preserving the confidentiality of administrative login credentials, API access keys, and security credentials.
- You will immediately notify Omnitech upon discovering any unauthorized access, credential leakage, or operational anomaly within your accounts.
3. Services, Deliverables & Scope of Work
Omnitech provides specialized information technology, custom software development, cloud infrastructure architecture, cybersecurity assessments, and digital enterprise consulting services.
- Statements of Work (SOW): The specific scope, technical deliverables, milestones, delivery schedules, and acceptance criteria for custom projects are defined in mutually executed Statements of Work or Project Proposals. In the event of a conflict between these general Terms and an executed SOW, the specific terms of the SOW shall govern for that particular project.
- Deliverable Acceptance: Unless an alternative timeframe is specified in writing, Client shall review and inspect deliverables within fourteen (14) calendar days of delivery. In the absence of detailed written non-conformities received within this period, deliverables shall be deemed formally accepted.
- Service Level Agreements (SLAs): Cloud uptime targets, scheduled maintenance windows, system backups, and technical support response times are governed by the dedicated Service Level Agreement corresponding to your subscribed service tier.
4. Acceptable Use Policy & Prohibited Conduct
When utilizing Omnitech websites, APIs, networks, hosted software platforms, or communication channels, you strictly agree NOT to:
- Decompile, disassemble, reverse engineer, decrypt, or otherwise attempt to derive source code or underlying architectural trade secrets of Omnitech platforms.
- Perform unauthorized vulnerability assessments, port scanning, penetrative stress tests, or exploit analyses without prior written authorization from Omnitech’s cybersecurity team.
- Introduce, transmit, or distribute trojans, worms, logic bombs, ransomware, keyloggers, or other malicious digital code.
- Engage in actions that violate UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumors and Cybercrimes or any corresponding cybersecurity directive.
- Sublicense, lease, resell, timeshare, or commercially redistribute access to proprietary Omnitech tools to unauthorized third parties.
- Circumvent or tamper with digital rights management, rate-limiting rules, or network firewalls guarding Omnitech infrastructure.
5. Intellectual Property Rights & Ownership
Omnitech maintains strict protocols governing intellectual property, proprietary algorithms, client assets, and customized project deliverables:
- Omnitech Pre-Existing IP: Omnitech retains full, unencumbered ownership of all pre-existing software frameworks, source code repositories, design systems, algorithms, APIs, trademarks, visual identities, documentation, and tools developed prior to or independent of any Client engagement.
- Client Materials & Data: Client retains all right, title, and interest in and to all proprietary data, trade secrets, trademarks, and business documents provided to Omnitech for the fulfillment of services.
- Custom Deliverables: Subject to full and timely settlement of all applicable project fees and invoices, Omnitech assigns to Client the copyright and ownership rights in bespoke software deliverables expressly designated as "Work Made for Hire" in the applicable Statement of Work.
- Feedback & Improvements: Any suggestions, feature requests, or performance feedback provided by Client regarding Omnitech platforms may be freely implemented by Omnitech without royalty, credit, or accounting to Client.
6. Fees, Invoicing & Payment Terms
All commercial transactions, consulting fees, and recurring subscription payments adhere to the following contractual guidelines:
- Currency: All prices and invoices are stated and payable in United Arab Emirates Dirhams (AED) or United States Dollars (USD) as specified in your agreement.
- Value Added Tax (VAT): Fees are quoted exclusive of statutory taxes. Pursuant to UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax, a standard 5% VAT rate will be applied to all taxable supplies and clearly itemized on tax invoices.
- Payment Due Date: Invoices are payable within thirty (30) calendar days from the invoice issuance date, unless distinct milestone billing terms are specified in the SOW.
- Late Payments: Late payments beyond forty-five (45) calendar days from issuance may accrue commercial interest at the rate of 1.5% per month (or the maximum permissible by UAE law), and Omnitech reserves the right to suspend ongoing active services upon written notice.
- Billing Inquiries: Legitimate billing disputes must be submitted in writing within fourteen (14) calendar days of invoice receipt, detailing the specific line item questioned. Undisputed amounts remain payable within regular credit terms.
7. Confidentiality & Data Protection
During the provision of IT solutions, both parties may have access to confidential technical, operational, or business data:
- Confidentiality Obligations: The receiving party agrees to safeguard the disclosing party's confidential data using the same degree of care it employs for its own sensitive assets, but not less than reasonable industry care, and shall not disclose such information to any third party without prior written consent.
- Exceptions: Confidentiality restrictions do not apply to information that is publicly known through no breach, was already independently developed, or is required to be disclosed pursuant to a valid subpoena or court order from an official UAE judicial body.
- Data Protection & Privacy: Any personal data collected, stored, or processed by Omnitech is handled strictly in compliance with UAE Federal Decree-Law No. 45 of 2021 regarding the Protection of Personal Data (PDPL) and our comprehensive Privacy Policy.
- Duration: Confidentiality obligations shall endure for the duration of the engagement and continue for five (5) full calendar years following contract termination.
8. Warranties & Disclaimers

- Third-Party Components: Omnitech does not warrant uninterrupted availability of third-party public cloud providers, external payment gateways, domain registrars, or open-source libraries beyond the vendor's own stated warranties.
9. Limitation of Liability
To the maximum extent permissible under the laws of the United Arab Emirates:
- Exclusion of Consequential Losses: In no event shall Omnitech, its directors, officers, employees, partners, or licensors be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of corporate profits, revenue, data, goodwill, or commercial interruption.
- Cap on Monetary Liability: Omnitech’s total aggregate cumulative liability for any and all claims, disputes, or causes of action arising out of or related to these Terms or any associated project shall strictly be limited to the total fees actually paid by the Client to Omnitech under the relevant Statement of Work in the six (6) months preceding the incident giving rise to liability.
10. Indemnification
The parties acknowledge mutual responsibilities to mitigate legal risks:
- Client Indemnification: Client agrees to indemnify, defend, and hold harmless Omnitech, its affiliates, and personnel from any third-party claims, liabilities, damages, or reasonable legal costs arising out of Client's violation of these Terms, unauthorized system manipulation, or infringement of third-party intellectual property through assets provided by Client.
- Omnitech IP Indemnification: Omnitech agrees to defend Client against third-party claims asserting that bespoke software authored by Omnitech infringes any valid UAE copyright or patent, provided Client grants Omnitech prompt written notification, sole defense control, and reasonable assistance.
11. Term & Termination
Contractual relationships and platform accounts may be terminated under the following conditions:
- Duration: These Terms remain effective from the date of initial access or contract execution until formally terminated.
- Termination for Convenience: Either party may terminate an ongoing retainer or service contract for convenience by providing thirty (30) calendar days prior written notice, subject to settlement of all hours and milestones completed up to the termination effective date.

- Amicable Negotiations: Any dispute or claim arising from this Agreement shall initially be referred to senior executive representatives of both parties for good-faith amicable negotiation for a period of thirty (30) calendar days.
